Made of Storm is looking for a Corporate Legal Specialist
📍 Location — Cyprus
The main task is to build and maintain a unified system of corporate accounting: a company registry, a document archive, and a calendar of corporate deadlines, so that up-to-date information on any structure is quickly accessible and does not require lengthy searches or correspondence with contractors.
📌 Key Responsibilities:
- Corporate Registry
Design and maintain a unified registry of corporate data for all client structures.
Maintain up-to-date information on jurisdictions, registration data, legal addresses, and company statuses.
Maintain data on directors, company secretaries, nominee directors, and resident directors.
Monitor information on shareholders, shares, share capital, and UBOs.
- Archive and Document Flow
Develop and implement a unified system for storing corporate documents.
Create a nomenclature of cases and file naming standards.
Maintain an electronic archive of corporate documents, certified copies, and scans.
Ensure the completeness and relevance of corporate dossiers.
- Corporate Calendar and Deadlines
Create and maintain a unified calendar of corporate obligations for all structures.
Monitor deadlines for renewal of registered office, company secretary, business registration, and licenses.
Monitor the validity periods of apostilled documents and certificates required for specific procedures.
Initiate necessary renewals and document acquisition in advance.
- Corporate Documents, Apostille, and Legalization
Order corporate documents: Certificate of Incorporation, Certificate of Incumbency, Certificate of Good Standing, extracts on directors, secretary, shareholders, and registered office.
Organize the obtaining of Certified True Copies of statutory documents, M&AA, and extracts from registries.
Organize document apostillation in various jurisdictions.
Coordinate consular legalization, notarization, and sworn translations.
Maintain records of received and used apostilled document sets.
- External Providers and Budget
Prepare comparative analysis of proposals regarding cost, timelines, reputation, and scope of services.
Formulate a shortlist of providers for the manager's decision.
Negotiate terms of cooperation and tariffs.
Monitor the quality of contractor work: deadlines, correctness of submissions, and communication quality.
Verify provider invoices and the relevance of services provided.
Control the budget of the corporate department.
📌 Requirements:
- Experience with corporate administration / corporate governance / corporate services / legal operations or supporting international companies.
- Practical experience in maintaining corporate documents and data for multiple legal entities simultaneously.
- Understanding of basic corporate structure: directors, shareholders, UBOs, share capital, registered office, company secretary.
- Experience with corporate documents: Certificate of Incorporation, Incumbency, Good Standing, M&AA, and extracts from registries.
- Understanding of the processes of notarization, apostillation, and legalization of documents.
- Experience interacting with corporate service providers, registration agents, law firms, and other external contractors.
- Ability to work with a large volume of information and simultaneously monitor multiple deadlines.
- Strong systematization skills: ability to independently build a registry, archive, and deadline control system.
- High attention to detail and responsibility for data accuracy.
- English language proficiency sufficient for working with corporate documents and international providers.
