We are looking for a Legal Counsel for a new international project in the payments / acquiring sector. The project is in its formation stage, so the specialist will work directly with the project lead and independently build the legal side of the business from scratch.

🟪Responsibilities: — Assist in the purchase (full cycle) and incorporation of several financial licenses in parallel, primarily in the UK. — Opening companies for the structure: interacting with registrars and corporate agents, choosing jurisdictions. — Obtaining beneficiary approval from regulators, preparing the relevant document package. — Funding companies within the group: channeling funds into licensed companies and documenting this. — Tax aspects of the structure: assessing the consequences of decisions and timely engaging the right people. — Selecting external consultants, conducting due diligence, gathering legal opinions.

🟪Who we are looking for: — Experience in independently managing at least one project for obtaining or acquiring a financial license — PI, EMI, or another comparable financial institution. — Experience working with UBO / beneficial owner approval and preparing the relevant document package. — Understanding of corporate and holding structures, principles of fund movement and funding within a group. — Experience in payments / fintech / financial services. — Good understanding of financial regulation, preferably UK/EU: PSD/PSR, GDPR, and other applicable requirements.
