The team supports the "Brokerage Business" Division.
Responsibilities
What you will be doing:
- work with contractual and accompanying documentation for securities transactions/services on the financial market, as well as with internal documents on brokerage activities (drafting/amending/reviewing/coordinating with relevant departments regulations and terms of brokerage service and provision of related services, securities purchase and sale agreements, REPO agreements, loan agreements, other agreements and documentation, as well as internal documents on brokerage, depository activities and investment consulting)
- development of legal structures and structuring of non-standard transactions and documentation for new products and business tasks, preparation of draft legal disclaimers
- maintaining standard contractual and accompanying documentation, as well as internal documents on brokerage activities, up-to-date
- monitoring new regulations in the field of professional activities on the securities market and ensuring necessary changes are made to client documentation and internal documents on brokerage activities and investment consulting activities, as well as initiating the implementation of necessary changes in client service processes and technological schemes to comply with new regulatory changes
- participation as an expert in the development, launch, and modification of brokerage business products and processes
- providing relevant expertise on the structure of supported brokerage products, their legal regulation upon request from product and business process owners, as well as the manager
- preparation of analytical notes, legal opinions, oral consultations on various legal and regulatory aspects
- participation in the review of complaints and appeals from brokerage service clients, as well as requests from regulators and state bodies on brokerage matters: review, verification of legality of claims, preparation of responses
- preparation of documents and support of the professional (legal) services procurement procedure within the division's activities
- identification and closure of regulatory gaps within the area of competence.
Requirements
We expect that you:
- have a higher legal education
- specialize in corporate or financial law
- have an excellent understanding of the securities market infrastructure and specifics of brokerage activities
- have a thorough command of civil law, financial law, securities market legislation, NAUFOR standards
- have at least 5 years of relevant work experience in legal support of brokerage activities
- are distinguished by responsibility, diligence, and readiness to work effectively under high pressure and multitasking conditions
- know how to use neural networks in daily work.
