🌀 General Legal Counsel in a large Management Company (under NDA) / Chief Legal Counsel / Sole Lawyer for an Investment Project
M&A / Construction / a large management company implementing a large-scale investment project for the construction of several high-tech plants in the field of biosafety and deep processing. The project is being implemented in a three-party partnership format with the participation of foreign investors (China). In connection with the transition of the first transaction to the design stage, we are looking for a strong in-house lawyer to join the dedicated business unit team. This is a position for a "player-coach" with a high level of energy, ready to work "hands-on", deeply dive into contracts, and confidently conduct negotiations at the business owner level.
Reporting Structure • Operationally — to the Project Manager and the Business Owner; • Functionally — to the Head of the Legal Department of the Management Company.
Responsibilities
Corporate Law and M&A • Participation in structuring complex transactions under Russian law; • Building corporate interaction between the project co-founders.
Contract Management • Development, legal review, and approval of key contracts: – general contractor agreements; – supply of complex technological equipment; – service agreements.
Foreign Economic Activity and International Partnership • Legal support for procurement; • Interaction with Chinese counterparties and partners.
Negotiations • Defense of the company's interests in complex multilateral negotiations; • Finding win-win solutions without compromising business interests.
Our Expectations for the Candidate • Higher legal education (from leading universities); • Relevant work experience, preferably in the following areas: – industrial construction; – pharmaceuticals; – consulting; – Family Office; • Deep expertise in corporate law and M&A transaction support; • Practical experience in contract management (contracting); • Willingness to independently draft and review documents (at the current stage, the position does not involve subordinates); • Fluent English (spoken and written) — mandatory for daily interaction with foreign partners; • Proactivity, autonomy, strong argumentation skills.
Conditions • Long-term project with a planning horizon of 3–5 years or more; • Work format: 100% office, Moscow, metro station "Kiyevskaya"; • Remote work is not provided. • Due to the specifics of the industry (biosafety), the final stage of the offer includes a security check and a polygraph test.
