A diversified holding company AlfiGroup is looking for a Director of the Legal Department, reporting directly to the holding owner.
Key responsibilities will include:
- Full legal support of the holding company's activities;
- Participation in legal support of corporate procedures: creation, reorganization, liquidation, and amendments to constituent documents, land law issues, etc.;
- Optimization of structure, improvement of efficiency and manageability;
- Support and execution of transactions for the sale and purchase of companies, shares, including those involving foreign legal entities;
- Analysis of legal risks and recommendations for their minimization;
- Participation in the legal expertise of draft agreements/contracts;
- Control of pre-trial dispute resolution, claims work, representation in courts, participation in negotiations;
- Personal handling of complex cases.
Requirements:
- Expert knowledge in all areas of law, including: M&A transactions and tax law;
- Higher legal education, experience as a director/head of a legal department in large holding (Russian or international) structures, directly with shareholders – from 7 years;
- Experience in process automation.
